What “on open rails” actually means

Our first line is a claim about infrastructure, not a slogan. Two ideas are joined in it: private markets are the assets, and open rails are what they should run on. Here is what we mean by each, and what changes when they meet.

Half one: the private market

A private market is where equity and debt in companies that are not listed on a public exchange change hands. No ticker, no closing bell, no continuous price. Ownership moves by contract — negotiated between named parties, governed by the company’s own documents, with information shared selectively rather than filed quarterly. Access has traditionally been restricted, partly by law and partly by plumbing. Private market basics covers the mechanics; why private markets covers why the category has grown.

Half two: open rails

“Rails” is what the payments industry calls the shared infrastructure a transaction actually travels on. Rails are open when they are standardised, documented, and interoperable — when a second application can connect to them without a bespoke integration, a private file format, or a phone call. Modern financial APIs are open rails. So are the settlement networks that let institutions that have never met complete a transaction on the same day.

What open means here — and what it does not

  • Open means standardised. One data model for a company, an offering, an investor and a position, so a record means the same thing at every stop.
  • Open means interoperable. Documented interfaces a sponsor, an advisor platform, or a transfer agent can build against.
  • Open means inspectable. Every state change on a record is attributable and reviewable after the fact.
  • Open does not mean permissionless. Eligibility, accreditation, transfer restrictions and rights of first refusal are enforced per record. Open rails carry the rules; they do not remove them.
  • Open does not mean liquid. Better infrastructure does not turn an illiquid asset into a liquid one. It removes the friction that has nothing to do with the asset.

What open rails are supposed to buy you

Better access. When eligibility is verified once and reusable, and when a platform can connect without a custom build, more investors and more venues can interact with the same asset safely. That is the access argument, and it is an infrastructure argument — not a claim that private assets are suitable for everyone.

Faster settlement. Private transactions are slow for reasons that are mostly clerical: forms re-keyed, signatures chased, wires reconciled by hand, subscription documents emailed as attachments and filed in someone’s inbox. Replacing that with automation is the difference between a transaction measured in weeks and one measured in days.

The closed version, priced honestly

Today a private investment typically means opening an account, waiting for it to fund, signing a subscription package, and waiting again while three parties reconcile whether the money and the shares actually met. Every handoff is a place a transaction stalls. None of that delay is compensated — it is not the illiquidity you are paid to accept, it is just friction.

Where our rails run

The stack is four layers, each doing one job: Find it on InvestNow. A8 Core™ clears, settles and records it — the operating core beneath every transaction. Investor Services custodies it. B5 Secure™ authorizes every record it touches. Your Investor Passport is the reusable credential that lets one motion replace three, which is what Select to Secure™ describes.
