Every professional adjacent to private markets eventually faces the same client moment: shares need to move, money needs to move, and somebody has to make both happen safely. Advisors improvise with escrow attorneys; law firms shepherd wires they’d rather not touch; cap-table platforms record transfers they didn’t settle. Rails exist so none of them has to.
What “rails” actually provide
Four functions, consumed rather than built: verified accounts — identity, accreditation, and authority checks already done (how verification works); asset custody — positions held and titled correctly, including in retirement accounts; delivery-versus-payment settlement — funds and shares moving only together; and records — statements, tax paper, and an audit trail that survives staff turnover on all sides. Each is mundane. Each is exactly what an improvised transaction lacks (the structural argument).
What it looks like per profession
For RIAs and family offices: client positions in private assets sit in custodied accounts alongside everything else — reportable, billable, inheritable — instead of in a drawer of subscription PDFs. For law firms: transactions your clients were doing anyway acquire a settlement layer, so counsel advises the deal rather than baby-sitting the wire. For cap-table and equity platforms: the ledger you keep gains an execution counterpart — transfers you record are transfers that actually settled, with consent and ROFR workflows (the lifecycle) handled in-band.
The integration questions that matter
Evaluating any rails provider — including a demonstration of one — comes down to: which account types and asset classes are supported; how consent, ROFR, and transfer-agent workflows are integrated rather than bolted on; what the reporting and data-access model is (your systems need the records, not just PDFs of them); how pricing references are sourced and labeled (the methodology standard); and where liability sits at each step. Our For Partners page maps the integration surface this platform demonstrates.
