By accessing this site you agree to these terms. If you do not agree, do not use it. Where you access the site on behalf of an entity, you confirm you are authorised to bind that entity.
2. What InvestNow is, and is not
InvestNow™ is the private-market discovery, qualification and subscription experience in a four-layer stack: Find it on InvestNow. A8 Core™ clears, settles and records it — the operating core beneath every transaction. Investor Services custodies it. B5 Secure™ authorizes every record it touches.
Today it operates as a demonstration and reference experience. It is not a broker-dealer, an alternative trading system, an exchange, an investment adviser or a transfer agent. InvestNow is not an investment adviser and does not recommend investments. It performs no due diligence on any offering, sponsor or platform, and the presence of an offering is never an endorsement of it.
3. Permitted use
You may browse, and use the tools and educational material, for your own informational purposes. You may not scrape at a volume that degrades service, circumvent a rate limit or access control, misrepresent your identity or eligibility, use the site to build a substantially similar competing service, or use it to break any law or sanctions programme.
4. The Investor Passport
The Investor Passport is the reusable identity and eligibility layer: verified identity, entity and ownership data, accreditation status, tax and banking details, authority and consent, captured once and reusable across eligible offerings and accounts.
Three properties of the Passport are terms of use rather than features, so they are stated here:
- A Passport is held by an authorised person, and may be held on behalf of an entity. Passports are hierarchical.
- An authorised person above may terminate one below. Revocation takes effect at the time of the change, not at the next review cycle. You are responsible for revoking authority you no longer intend to grant.
- An approval gate may be configured so a transaction is not final until a named party approves it. Where you configure one, you are responsible for operating it.
You must keep Passport information accurate. Eligibility is a legal threshold, not a statement of merit, and satisfying it does not make any investment suitable or advisable for you.
5. Due diligence remains yours
The governing line
- Review the available offering information and due-diligence materials before selecting an offering.
- Platform-provided information supports diligence; it does not replace independent verification or professional advice.
- Identity verification, eligibility verification, asset verification, custody and secure settlement do not establish that an investment is suitable or advisable.
- Trust, branding, social proof, platform presentation and access to an offering are never substitutes for due diligence.
6. No advice, and no allocation guidance
Nothing here is investment, legal, tax or accounting advice. We do not publish a target allocation, a model portfolio, or a comparison of private against public returns — not as an oversight but as a position. 7. Intellectual property
The site, its content and the marks InvestNow™, A8 Core™, Select to Secure™ and B5 Secure™ are owned by their respective owners and licensed for use here. B5 Secure™ technology is licensed by B5 Secure, LLC, a separate entity. Third-party names and marks belong to their owners; reference implies no affiliation or endorsement.
8. Third-party links and offerings
Links and listings are provided for convenience. We do not control third parties, do not verify their content, and do not perform due diligence on their offerings. Availability is not endorsement.
9. Disclaimers
The site is provided as-is and as-available. To the fullest extent permitted by law we disclaim all warranties, including fitness for a particular purpose and accuracy of content. Illustrative data is illustrative and must not be relied on as fact.
10. Limitation of liability
To the fullest extent permitted by law, neither Financial Infrastructure, Inc. nor its affiliates is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or lost data, arising from your use of the site.
11. Changes
We may update these terms. Continued use after a change takes effect is acceptance of it. Material changes are dated above.
12. Governing law
These terms are governed by the laws of the State of California without regard to conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in San Mateo County, California.
